By accessing or using Worky ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.

Worky is a freelance marketplace platform that connects freelancers with clients seeking professional services. Our services include:

• Matching freelancers with clients based on skills, experience, and project requirements
• Facilitating communication between freelancers and clients
• Processing payments through secure escrow services
• Providing tools and features to manage projects and collaborations
• Offering dispute resolution services when needed

Account Creation: To use certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

Account Eligibility: You must be at least 18 years old and have the legal capacity to enter into contracts. By creating an account, you represent and warrant that you meet these requirements.

You agree to use the Platform in a lawful and respectful manner. You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Post false, misleading, or fraudulent information
• Harass, abuse, threaten, or harm other users
• Spam, send unsolicited messages, or engage in phishing
• Circumvent payment systems or attempt to avoid platform fees
• Interfere with or disrupt the Platform's operation
• Use automated systems to access the Platform without authorization
• Impersonate any person or entity or misrepresent your affiliation
• Share account credentials or allow others to use your account
• Engage in any activity that could damage our reputation or business

If you use the Platform as a freelancer, you agree to:

• Provide accurate information about your skills, experience, and qualifications
• Deliver work that meets the agreed-upon specifications and quality standards
• Complete projects within agreed timelines or communicate delays promptly
• Maintain professional communication with clients
• Respect intellectual property rights and confidentiality agreements
• Not solicit clients to work outside the Platform to avoid fees

If you use the Platform as a client, you agree to:

• Provide clear, accurate project descriptions and requirements
• Pay freelancers promptly according to agreed terms
• Provide constructive feedback and communicate professionally
• Not request work outside the Platform to avoid fees
• Respect freelancers' time and expertise
• Not engage in fraudulent or deceptive practices

Platform Fees: Worky charges fees for transactions conducted through the Platform. Our fee structure is transparent and displayed before you commit to a project. Fees are deducted from payments before funds are released.

Payment Processing: Payments are processed through secure third-party payment processors. We use escrow services to protect both freelancers and clients. Funds are held in escrow until project milestones are completed and approved.

Refunds: Refund policies are determined on a case-by-case basis. Disputes are handled through our dispute resolution process. We reserve the right to withhold funds in cases of suspected fraud or violation of these Terms.

Taxes: You are responsible for any taxes applicable to your earnings or payments. We may be required to collect tax information in certain jurisdictions.

Platform Content: All content on the Platform, including text, graphics, logos, and software, is owned by Worky or its licensors and is protected by copyright and other intellectual property laws.

User Content: You retain ownership of content you create and post on the Platform. By posting content, you grant Worky a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content for the purpose of operating and promoting the Platform.

Work Product: Ownership of work product created by freelancers is determined by the agreement between the freelancer and client. Unless otherwise specified, the client owns the work product upon full payment.

Internal Resolution: We encourage users to resolve disputes directly. If a dispute cannot be resolved, you may request our assistance through the Platform's dispute resolution system.

Our Role: Worky may facilitate dispute resolution but is not a party to agreements between users. Our decisions are final and binding regarding Platform-related issues, including fee disputes.

Legal Disputes: For disputes that cannot be resolved through our internal process, you agree to first attempt to resolve the dispute through good faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration in accordance with applicable laws.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORKY AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE PLATFORM.

Our total liability for any claims arising from or related to the Platform shall not exceed the amount you paid us in fees in the twelve (12) months preceding the claim.

We are not responsible for the quality, safety, or legality of services provided by freelancers, or for the accuracy of information posted by users. We do not guarantee that the Platform will be error-free or continuously available.

You agree to indemnify, defend, and hold harmless Worky, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of another party
• Content you post or transmit through the Platform

By You: You may terminate your account at any time by contacting us or using account deletion features. Upon termination, your right to use the Platform will immediately cease.

By Us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or for any other reason we deem necessary to protect the Platform and its users.

Effect of Termination: Upon termination, you will lose access to your account and all associated data. We may retain certain information as required by law or for legitimate business purposes. Outstanding obligations and disputes will survive termination.

Your use of the Platform is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any legal action or proceeding arising from these Terms shall be brought in the appropriate courts.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Worky regarding your use of the Platform and supersede all prior agreements and understandings.
